Our Governing Document

The foundation of NSTA.

The Constitution establishes the purpose, independence, membership, executive structure and governance of the North Sydney Transport Association.

It also sets out the responsibilities of Executive Officers, meeting arrangements, activities, financial arrangements, amendment procedures and the process for dissolution.

The Constitution

Twelve Articles.

The Constitution establishes the framework through which NSTA operates.

Article I

Name

Establishes the official name of the organisation as the North Sydney Transport Association (NSTA).

Article II

Purpose

Sets out the Association's purposes, including public transport, transport history, urban planning, education, research, events and community.

Article III

Independence

Establishes NSTA as an independent body and provides for cooperative relationships with school clubs and external organisations.

Article IV

Membership

Defines who may become a member and establishes expectations regarding conduct and membership.

Article V

Executive

Establishes the Executive and its eight constitutional Executive Officer positions, as well as appointed positions.

Article VI

Duties of Executive Officers

Defines the responsibilities of the President, Vice President, Secretary, Treasurer, Marketing and Communications Officer, Events Officer, Liaison Officer and Archivist.

Article VII

Appointment of the Executive

Establishes the appointment, replacement and removal of Executive Officers and excludes political parties, factions and caucuses from the Association's constitutional governance.

Meetings

Establishes the types of meetings NSTA may hold, including General, Executive, Annual and Special Meetings.

Article IX

Activities

Establishes the activities the Association may undertake, including research, events, publications, partnerships and advocacy campaigns.

Article X

Finances

Establishes how membership fees, donations and fundraising revenue may be collected and used.

Article XI

Amendments

Establishes the process for amending the Constitution, including the requirement for a two-thirds Executive majority.

Article XII

Dissolution

Establishes arrangements for the Association's archival materials should the organisation be dissolved.

Executive

Eight constitutional offices.

The Constitution establishes eight Executive Officer positions: President, Vice President, Secretary, Treasurer, Marketing and Communications Officer, Events Officer, Liaison Officer and Archivist.

The Executive may also appoint Coordinators, Advisors, Committee Members, Project Leads and other volunteers to assist with the Association's work.

Amendments

Keeping the Constitution current.

Amendments to the Constitution are recorded as part of NSTA's governance process.

The Constitution may be amended by a two-thirds majority of the Executive. The Executive may also consult the membership before adopting amendments where appropriate.
